Chaperone-SA-1.0 End User License Agreement (AWS Marketplace)

This agreement is between you and Empirisch Tech GmbH ("we") for Chaperone-SA-1.0, the Amazon SageMaker AI model package you subscribe to on AWS Marketplace. "Software" means that model package, its container image and the Model (section 3).
The Standard Contract for AWS Marketplace (SCMP), as published at https://aws.amazon.com/marketplace/features/standardized-contracts on the date you subscribe, forms part of this agreement. The terms below add to it and prevail where they conflict with it.
1. Third-party software
Third-party components in the Software are also subject to their own license terms, which the container image includes and which we send on request. Nothing here restricts the rights an open-source license gives you in those components.
2. NVIDIA software
You may use NVIDIA's CUDA container and CUDA libraries in the Software ("NVIDIA Software") only as part of the Software and subject to NVIDIA's license terms: the NVIDIA Deep Learning Container License (https://developer.download.nvidia.com/licenses/NVIDIA_Deep_Learning_Container_License.pdf) and the CUDA Toolkit End User License Agreement (https://docs.nvidia.com/cuda/eula/index.html), including their limits on distribution, modification and reverse engineering. NVIDIA provides it "as is", without warranty or liability to you as far as the law allows, and keeps all rights in it. NVIDIA hasn't tested it for systems whose failure could cause injury, death or catastrophic damage; don't use the Software in them.
3. The Model
The Chaperone-SA-1.0 model, including its weights, configuration and any part or copy of them (the "Model"), is proprietary to us and contains our confidential information and trade secrets; we and our licensors keep all rights in it. We grant you a non-exclusive, non-transferable right to use it only as part of the Software, on Amazon SageMaker AI in your AWS accounts, while your subscription lasts. Without our written permission, you must not, and must not let anyone: (a) copy, download, export or extract it, or any part of it, from the Software or from the SageMaker AI resources that run it; (b) use it outside the Software, or offer it as a service to others; (c) distribute, sell, rent, lend, sublicense or otherwise provide it to anyone; (d) modify, fine-tune, merge, convert or quantize it, or make derivative works of it; (e) reverse engineer it or try to discover its weights, training data or methods, except as applicable law allows despite this restriction; (f) use it or its outputs to develop, train or improve a competing model. It derives in part from an open-weight model under the Apache License 2.0, and nothing here limits your rights in that model as its authors published it.
4. Intended use
The Software classifies the sentiment of text toward the targets you name; its results can be wrong, so review them before you rely on them. It isn't a medical device: don't use it to diagnose, prevent, monitor or treat disease, or for decisions about individual patients' care. It doesn't replace your pharmacovigilance system, and you remain responsible for your regulatory obligations, including validating it for any GxP use.
5. Your data
The Software runs in your AWS account with SageMaker AI network isolation. It never sends us your texts or results, and we have no access to your account, your endpoints or their logs. If you send us data to get support, send only what the request needs and no personal data where you can avoid it; we use what you send only to answer your request, let only staff bound by confidentiality see it, and delete it when the request is closed.
